Le Grand Window Cleaning Company, referred to as CONTRACTING PARTY, and the person or company listed above, referred to as INDEPENDENT CONTRACTOR, agree: INDEPENDENT CONTRACTOR shall perform the one or more of the following services for CONTRACTING PARTY: • Window Cleaning • Window Cleaning Sales • Estimating • Bid Processing • Management At the one of the following rate of remuneration: • Commission sales • Commission sales management • Flat Bid per Job • (providing independent contractor is hired) This agreement shall begin on the date at the bottom of this agreement and shall terminate 1 day after the last date of services rendered. Contracting Party may terminate this contract on with notice to Independent Contractor for unsatisfactory performance of services rendered or any reason deemed necessary by contracting party in effort to maintain a sound business structure. This is an agreement for independent contracting services. The contracting party provides no benefits such as unemployment, health or workman's compensation insurance. Independent Contractor is responsible and liable for the cost of any damages or injuries caused by independent contractor or cause by the negligence of independent contractor. Contracting Party is only interested in the results obtained by independent contractor. Independent contractor shall be responsible for providing all tools and materials required for performance of the tasks agreed to by both parties. Independent Contractor is responsible for payment of all federal, state and local income taxes. This agreement is only in effect should independent contractor be hired to do work by CONTRACTING PARTY and in no way binds CONTRACTING PARTY to hire Independent Contractor. Independent Contractor agrees not to compete with contracting party for a period of 5 years form the date of termination. This does not apply to established business or business obtained by independent contractor regarding commercial window cleaning or other types of cleaning customers but only to Contracting Party's customer base. If Independent Contractor breaks this agreement, not to compete, Independent Contractor shall be liable for all court costs and attorneys fees associated with the cost of enforcing this agreement. Independent Contractor agrees to keep all information and trade secrets confidential and shall in no wise share or use this information per personal gain outside of the duties hired for by CONTRACTING PARTY.
